1. Acceptance of Terms

By creating an account or using XELA, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you may not use the platform.

2. Description of Service

XELA is a marketplace platform that connects businesses with sellers who promote their products. Sellers earn commissions on sales generated through their unique referral links. The platform provides tracking, attribution, and payout management services.

XELA acts solely as an intermediary platform. XELA is not a party to any transaction between businesses and sellers, and is not responsible for the products, services, or conduct of any user. XELA does not guarantee any sales, earnings, or specific outcomes from using the platform.

3. User Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

4. Seller Terms

As a seller on XELA, you agree to:

  • Promote offers honestly and without deceptive practices
  • Not engage in spam, fraud, or any form of manipulation
  • Comply with all applicable laws and regulations, including disclosure requirements and tax obligations
  • Provide accurate payout information

You are solely responsible for your own compliance with applicable laws, taxes, and required disclosures. Misuse, deceptive behavior, or violation of these terms may result in forfeiture of pending commissions and termination of your account.

5. Business Terms

As a business on XELA, you agree to:

  • Provide accurate information about your products and offers
  • Honor commission rates agreed upon with sellers
  • Maintain valid payment methods for commission payouts
  • Comply with all applicable consumer protection laws

You are solely responsible for your own compliance with applicable laws, taxes, and consumer protection requirements. Failure to honor commission obligations or deceptive conduct may result in account suspension or termination.

6. Commissions and Payments

Commission rates are set by businesses and displayed on each offer. Commissions are tracked automatically when sales occur through seller referral links. Payouts are processed according to the payout schedule and minimum thresholds displayed in your dashboard.

Commissions are only earned on valid, completed, and non-refunded transactions. Refunds, chargebacks, fraudulent transactions, or reversed payments may void or reduce associated commissions. XELA reserves the right to withhold, adjust, or reclaim commissions in such cases.

Payouts are processed via Stripe. Currency conversion fees or processing delays may apply. XELA is not responsible for delays caused by third-party payment providers.

7. Prohibited Activities

You may not:

  • Use the platform for any illegal purpose
  • Attempt to manipulate tracking or attribution systems
  • Create fake accounts or transactions
  • Harass, abuse, or harm other users
  • Violate any intellectual property rights
  • Interfere with the proper functioning of the platform

8. Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms or for any other reason at our discretion. You may also close your account at any time by contacting support.

In cases of fraud, abuse, or violation of these terms, XELA may withhold, cancel, or reclaim any unpaid commissions. Termination of your account does not waive any existing obligations under these terms, including any amounts owed.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY SPECIFIC RESULTS OR EARNINGS WILL BE ACHIEVED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XELA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE PLATFORM OR ANY TRANSACTION CONDUCTED THROUGH IT.

11. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of any material changes by posting the new terms on this page with a revised "Last updated" date. Your continued use of the platform after changes constitutes acceptance of the new terms.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Australia. Any disputes arising from or relating to these terms or your use of the platform shall be resolved in the courts of Australia, and you consent to the jurisdiction of such courts.
